What are you waiting for? Position Summary Big Switch Networks (BSN) is seeking an experienced General Counsel (GC) to lead our company’s legal team and support the next stages of our growth. The GC serves as the chief legal officer reporting to the CFO and is a trusted advisor to all members of the executive team. Also, the GC provides legal guidance to the CEO and the Board of Directors while also acting as a policy advisor on all major operations and initiatives. The GC hires, supervises and coordinates all external and internal legal counsel to protect BSN’s reputation, human, financial and corporate resources, programs and services. This role will serve as Secretary with regards to corporate compliance and governance processes. The GC role requires a proven, results-driven business leader who possesses integrity, passion and strong management experience at a high-growth technology company. This individual will proactively identify and mitigate legal risk to protect BSN from undue legal exposure, liability and significant financial loss while facilitating achievement of strategic and operational objectives. The GC will directly field and resolve legal matters from start to finish as a contributor to the team, while also having responsibility for managing the department to successfully maintain, develop, and scale our legal processes on behalf of both internal and external stakeholders. S/he will build and maintain effective cross-functional relationships with key stakeholders across the company and provide pragmatic solutions to legal risks. Responsibilities Lead the legal department’s efforts in developing, reviewing, drafting, and negotiating a wide range of commercial agreements including (but not limited to) distribution agreements, statements of work, service agreements, software license agreements, contractor agreements, and confidentiality agreements. As BSN’s primary point of contact in negotiating complex multi-party commercial transactions, work closely with key stakeholders and executives to facilitate an understanding of contract scope, nuances, deviations, key terms, and contract acceptance. Drive cross-functional collaboration in advising executive management and business teams on aspects of commercial transaction law and related matters. Implement “best practices” as it pertains to regulatory compliance and corporate governance, including quarterly certifications (ex. FCPA), export compliance and record-retention. Oversee all aspects of vendor and supplier contracts, including developing and implementing self-service and workflow improvements for vendor contracting process. Provide regulatory exposure and risk mitigation guidance in support of the company’s business and strategic growth initiatives. Direct internal counsel in optimizing contract templates, defining and developing global corporate policies and processes, maintaining legal records and templates across corporate databases, and developing training materials on relevant topics such as the contracting process, data protection and privacy, and legal compliance in the sales and contracting processes. Supervise relationships with multiple external law firms (corporate, HR, IP, etc.) while managing legal spend in adherence to quarterly budgets. Plan, develop, manage and execute internal IP patent portfolio and trademark processes to ensure the company’s IP is properly identified, captured, and protected. This strategy includes regularly scheduled reviews of existing patent and trademark portfolios, technology and product development plans, and business partnerships. Lead patent and trademark portfolio enforcement actions when necessary. Establish new legal entities in international regions in collaboration with Finance and HR. Oversee all matters pertaining to corporate securities, including preparations for requirements triggered by future growth expectations (ex. Rule 701). Play a pivotal and role in the structuring, drafting and execution of Financing and M&A transactions. Qualifications Strong professional judgment, proven discretion, practicality, and client service focus. Proactive and able to work efficiently, prioritize workflow, and manage multi-dimensional projects in a fast-paced environment. Attention to detail, excellent analytic and communication skills, with ability to act on best information available and not wait for absolute certainty.
