The Associate Attorney will draft, negotiate, and review M&A and private equity documentation, including transaction documents for a range of clients, with a focus on entertainment, sports, and media transactions. Responsibilities: Draft, negotiate, and review M&A and private equity documentation, including transaction documents for a range of clients, with a focus on entertainment, sports, and media transactions, including purchase agreements, limited liability company agreements, and other ancillary agreements. Draft, negotiate and review commercial agreements for sports industry clients, including sponsorship agreements, ticketing agreements, license agreements, broadcast agreements and stadium-related agreements. Perform buy- and investment-side legal due diligence in connection with acquisitions, joint ventures and minority investments (including investments in professional sports franchises). Assist with negotiating professional sports league consent documents and advise on league compliance matters. Assist clients with equity financing activities and corporate governance issues. Counsel market-leading private equity firms and high net worth individuals in connection with minority investments in sports teams and expansion team bids. Coordinate legal due diligence and transactional processes from early stage deal negotiation to signing and closing within the entertainment, sports and media industries. Manage closing processes, including closing mechanics, funds flow and document management.
