Corporate Counsel: Providing Legal Counsel for **MEMBERS ONLY**SIGN UP NOW*** Inc.

Job Summary:

The Corporate Counsel for **MEMBERS ONLY**SIGN UP NOW*** Inc. will be responsible for providing general legal counsel in complex corporate matters, drafting and negotiating contracts and agreements, ensuring compliance with international and domestic laws, and managing various legal activities for the company. This position reports directly to the Vice President of Legal & Land and will be based in Denver, CO.

Key Responsibilities:

- Conduct general transactional work in support of the company's mining business
- Negotiate, draft, and administer a variety of business transactions, including M&A agreements, exploration agreements, and sales contracts
- Provide legal advice and support for supply chain/procurement initiatives, project development, and operational activities
- Assist with legislative and regulatory efforts at the local, state, and federal levels
- Advise on subsidiary governance and corporate compliance
- Offer expertise in public land and mining law, including mining claim location and maintenance, exploration rights, and lease and concession contracts
- Manage and resolve transaction-related disputes and litigation
- Work closely with outside counsel in a timely, efficient, and cost-effective manner
- Assist in the development and management of company contract templates
- Collaborate with SSR's operations team to align legal strategies with corporate objectives
- Stay up-to-date on all proposed and enacted rules and regulations impacting the company's operations
- Provide support for public disclosure and securities filings

Qualifications:

- Juris Doctor or equivalent degree from an accredited law school
- 4-6 years of experience with a top-tier law firm and/or in-house legal department
- Business transactional experience, including drafting and negotiating agreements
- Experience in mining, natural resources, oil and gas, royalties, extractive industries, or public lands
- Ability to work independently and exercise good judgment
- Excellent communication skills, both verbal and written
- Strong interpersonal skills and the ability to build relationships with business personnel
- Comfortable working in a fast-paced and dynamic environment
- Ability to make decisions within the scope of authority and find creative solutions to business problems
- Self-confidence and business presence to participate in legal and business negotiations, meetings, and management groups

Salary Information:

For applicants residing in CO, the salary range for this role is $140,000-$185,000. **MEMBERS ONLY**SIGN UP NOW*** Inc. also offers a comprehensive benefits package, including 401(k), medical/dental/vision insurance, employee share purchase plan, paid time off, and short-term incentives.
