Position: Corporate Associate

Job Description:

- Counsel clients on various legal matters including corporate transactions, mergers and acquisitions, business formation, and compliance issues
- Draft, review, and negotiate legal documents related to corporate transactions
- Negotiate and draft commercial contracts for firm clients and assist with corporate compliance matters
- Handle mergers and acquisitions, including due diligence and overseeing closing procedures
- Represent businesses in disputes and litigation, working closely with the litigation department
- Stay updated on changes in laws affecting businesses in New York
- Develop risk management and compliance strategies
- Foster and maintain client relationships

Key Responsibilities:

- Advise and represent clients in business entity formation and negotiations
- Draft, review, and negotiate legal documents related to corporate transactions
- Negotiate and draft commercial contracts for firm clients and assist with corporate compliance matters
- Handle mergers and acquisitions, including due diligence and overseeing closing procedures
- Represent businesses in disputes and litigation, working closely with the litigation department
- Stay updated on changes in laws affecting businesses in New York

Qualifications:

- Juris Doctor (JD) from an accredited law school
- Admitted to practice law in the State of New York
- 3-6 years of experience in business law, with a focus on corporate transactions and business litigation
- Proven track record of handling complex legal matters with individual initiative
- Strong analytical, negotiation, and communication skills
- Detail-oriented with the ability to work independently and in a team
- Proficiency in legal research platforms such as Westlaw or LexisNexis
