Corporate Paralegal
Arden Hills, MN Corporate Paralegal - Support the Legal Team at **MEMBERS ONLY**SIGN UP NOW*** Position Purpose: - Play a critical role in supporting the corporate functions of **MEMBERS ONLY**SIGN UP NOW*** as a Corporate Paralegal. - Report to corporate counsel and assist with various tasks related to corporate governance, transactions, and documentation. Key Responsibilities: - Draft, review and revise corporate governance documents and records. - Organize, maintain, and manage all corporate records and databases. - Register and maintain state and local business qualifications, assumed business name registrations, and annual renewals/reports. - Assist with corporate transactions and financing transactions. - Coordinate and prepare documents for foreign entity formation. - Liaise with outside counsel to manage and support project coordination. - Maintain records, documentation, and related processes for lender reporting and annual audit. - Perform general paralegal duties to support the attorneys. Qualifications: - Associate degree or higher and paralegal certification required. - 5 years of experience as a corporate paralegal in a law firm or corporate legal department. - Experience drafting, reviewing, and revising corporate governance documents and records. - Familiarity with large and complex organizations. - Proficiency in Microsoft Office Suite and DocuSign. - Excellent organizational skills and communication abilities. Preferred Experience and Education: - Bachelor's degree in paralegal studies, business, or a related field. - Certification from a recognized paralegal association. - Experience with hCue, Legal Tracker, and ContractPodAi. - Knowledge of commercial lending transactions and international entity formation and governance.
