Corporate Counsel
Greensboro, NC Corporate Counsel - Full Time Department: Legal Location: Greensboro, North Carolina, USA Job ID: R-20240124-0024 Salary: $132,000.00 - $165,000.00 USD annually Experience: 8 years Education: Juris Doctor (“JD”) degree from a highly reputable, ABA-accredited law school Responsibilities: - Provide legal advice and guidance to business leaders on matters of corporate law. - Advise leaders to mitigate risk and ensure compliance with regulations. - Support VF’s subsidiary and legal entity management. - Review and manage SEC filings, such as Section 16 filings. - Manage governance for employee equity and executive compensation matters. - Provide legal support for corporate restructuring projects and initiatives. - Advise, draft, and negotiate intercompany agreements. - Advise, draft, and negotiate agreements and contracts for the Global Supply Chain and Indirect Procurement team. - Stay up to date on legal and company policies, regulations, and procedures to support the business. Requirements: - 8 years of experience as an attorney at a reputable law firm or combination of law firm and in-house. - Admitted to practice law and in good standing in at least one state/jurisdiction. - Strong general corporate background; securities experience helpful. - Ability to lead, influence, and advise at all levels of the organization. - Experience working with international teams and cross-border experience is a plus. - Familiarity with corporate functions such as tax, treasury, and accounting is preferred. Physical and Mental Requirements: - Ability to travel by air and overnight, as required (up to 20%). - Able to lift up to 10 lbs.
