Corporate M&A Associate Attorney

Law Firm is seeking an experienced Corporate M&A Associate Attorney to join their Sarasota office. The successful candidate will have a Juris Doctor Degree from an ABA accredited law school and at least two years of law practice experience.

The Corporate M&A Associate Attorney will be responsible for providing legal advice and services related to corporate transactions, including due diligence, structuring, and documenting complex acquisition transactions. The ideal candidate will have experience in estate planning and probate law.

**Responsibilities of the Corporate M&A Associate Attorney**

- Provide legal advice and services related to corporate transactions
- Manage due diligence, structuring, and documenting complex acquisition transactions
- Analyze and interpret legal documents
- Provide legal advice on corporate transactions
- Prepare and review contracts and other legal documents
- Negotiate terms of agreements
- Monitor changes in relevant laws and regulations
- Represent clients in court when necessary
- Prepare legal opinions
- Advise clients on a variety of legal issues
- Represent clients in negotiations

**Qualifications of the Corporate M&A Associate Attorney**

- Juris Doctor degree from an ABA accredited law school
- Florida bar license (or ability to take the Florida bar exam in the next year)
- LL.M. in Taxation or CPA preferred, but not essential
- 2 years’ law practice experience
- Strong technological skills including proficiency with Microsoft Office applications and practice management systems, portals and technologies
- Superior research skills, including the use of online services, databases and the Internet
- Superior organizational skills
- Project management skills including a strong aptitude for managing and prioritizing multiple projects and deadlines
- Excellent written and verbal communication skills as well as analytical, problem solving and decision making skills
- Ability to work independently and maintain a high degree of confidentiality
- Physical requirements: sitting position static for up to one-half hour at a time, lifting and carrying up to 20 pounds occasionally, up to one hour per day, bending and stooping occasionally, up to one-half hour per day
