# Senior Counsel – Corporate, Securities, and M&A

We are looking for an experienced attorney to join our legal team as a key contributor to corporate strategic and legal initiatives. This role will report directly to the General Counsel and will provide advice to the company’s leadership regarding M&A, corporate governance, securities disclosure requirements, and debt and equity capital markets transactions.

**Essential Duties and Responsibilities:**

* M&A/Transactions (30% of Time)
* Negotiate and draft confidentiality agreements, term sheets / MOUs, and definitive transaction documents for acquisitions, divestitures and joint ventures
* Lead deal teams composed of internal specialists and external counsel
* Collaborate with Corporate Development team to manage transaction closing process
* Corporate/Governance (30% of time)
* Advise on governance-related matters, shareholder interests and facilitating the flow and availability of information
* Interface with and advise individual directors, as well as key executives
* Review, maintain and periodically update various corporate governance documents, policies and practices
* Advise on investor relations matters
* Administer and monitor the company’s Insider Trading Policy
* Oversee corporate governance and corporate secretarial matters for domestic and international subsidiaries
* SEC Compliance/Securities/Corporate Finance (40% of time)
* Assist in all securities law, NYSE, and SEC reporting / compliance matters
* Assist in corporate finance transactions, and other capital markets transactions, including debt and equity offerings
* Support Internal Audit with SOX compliance matters

**Experience/Qualifications:**

* 7 years of relevant legal experience, ideally with a blend of experience at an Am Law 100 firm and in-house experience at a publicly listed company
* J.D. degree from a top law school and member of at least one U.S. state bar association
* Significant experience providing guidance on mergers and acquisitions and joint ventures
* Experience leading M&A transactions, and have experience leading due diligence teams, and related experience in general corporate and corporate governance matters
* Understanding of public company governance, disclosure, and reporting requirements as well as experience in a broad range of securities and financial transactions, and routine corporate law experience
* Significant experience with '33 and '34 Act disclosure requirements
* Experience in corporate financing, including credit agreements, debt and equity securities offerings and other capital markets transactions
* Ability to work on-site at APi facilities (subject to remote work policy), flexible and willing to work extended hours and travel when necessary
* Familiarity with environmental, social and governance (ESG) issues is a plus

* Able to work independently; exercise good judgment in determining when to consult leadership, colleagues, and clients in high pressure, fast-paced environment
* Strong leadership qualities; team player with ability to work collaboratively in a cross-functional environment and build strong relationships and establish trust

**Benefits and Compensation:**

This role will operate primarily in-office at our New Brighton headquarters. The pay range is $174,500 - $262,000, depending on job-related knowledge, skills, and experience. This position is eligible for annual bonus, long-term incentives, and profit sharing based on company performance in addition to other benefits that support the total well-being of you and your family.
