Your Opportunity We are recruiting a Director, Legal Counsel - Digital and FinTech to help drive the successful launch of innovative mobile and online financial products and services. The Director and Legal Counsel will partner with Digital Services and other teams on product initiatives and launches crucial to Schwab\u2019s business strategy.   The Director, Legal Counsel has extensive experience in financial services working with various lines of defense, and a shown track record of leading up and across. Deep expertise in the e-SIGN Act as well as laws and regulations regarding electronic consent, disclosure, and delivery methods for mobile and online financial products and services, electronic payments and other data asset transfer laws is required. What you are good at Collaboration and Project Management. Working in an environment where multiple partners have a voice (Business, Legal, Compliance, Risk Management, Security, etc.). Understanding and resolving contending priorities to successful outcomes through influence and iteration, and working with leaders at all levels and across various functions. Ability to balance multiple assignments simultaneously and timely, keeping clients aware of progress. Subject Matter Expertise. Your expertise includes the Investment Advisors Act, the Securities Exchange Act, the Securities Investment Act, the Investment Advisors Act, the Bank Holding Company Act, Dodd-Frank Act, GLBA, and other financial consumer protection laws and regulations; the Electronic Fund Transfer Act, Regulation E, the Uniform Commercial Code, NACHA, and applicable credit card rules; the Truth-in-Lending Act, Regulation Z, Fair Credit Reporting Act, Equal Credit Opportunity Act, Regulation B. In particular, this role will serve as the enterprise-wide definitive specialist on rules and laws in the financial services sector governing e-signature and e-disclosure, including the e-SIGN Act. Issue Spotting. An ability to identify legal issues both within your subject matter expertise and outside of it, bringing in other specialists as needed. Issue spotting capability includes the following legal fields: payments, securities trading, investment advisory, account operations, lending, trust, marketing, intellectual property, data use rights, privacy, and cybersecurity, among others. Excellent judgment and skill at navigating evolving legal areas and gray space where the law is unsettled or uncertain and explaining those issues head-on and concisely to the business. Client Service. Schwab believes in viewing matters through its clients\u2019 eyes. The successful candidate therefore understands the importance of an outstanding client experience both internal and external. She or he continuously improves, and proactively works to drive consistency, efficiency and clarity. All Things Digital. Support the design and development of simplified, personalized user experiences. Work with business partners and Compliance on the preparation of online banking customer terms and conditions governing the use of online, digital banking platforms. Counsel clients in areas including AI, Data Ethics, and Incubators/Innovation Labs. Represent the firm in trade associations on matters concerning evolving legal issues. Provide impactful legal guidance tailored to Digital Services on key FinTech initiatives and strategic research and development projects under applicable banking laws (including permissibility issues under the Bank Holding Company Act), federal securities laws, and ERISA, including matters relating to fractional share trading, automated digital investment advice, and online trading and execution. What you have A passion for working in a team environment. A love of technology and intellectual curiosity. Clear and concise communication style both verbal and written. A sense of pragmatism with an ability to connect all the dots and shift from concept to execution A sense of humor and an all-in demeanor. Law degree (JD, LLB, or equivalent) from an accredited US law school. Admission to and in good standing with the state bar of at least one U.S. state. At least 10 years of shown experience as a practicing attorney either in-house (or in an equivalent setting) or at a reputable law firm, with at least 8 of those years focused on digital banking, securities, payments law, electronic signatures, and disclosures, the FinTech space, and expertise in financial services regulatory analysis
