Description for the Role of: In-House Associate

Assist General Counsel of a mid-sized, multi-national professional engineering firm with all stages of corporate transactions, business licenses and registrations, contract documents, and general corporate matters.

Primary Responsibilities:

Assist General Counsel with contract documents:

Review client contracts, NDAs, lien waivers, etc., for various projects.
Develop and implement standard contract forms for firm-wide use.
Complete firm vendor qualification forms, including SAM/ORCA, Vendex, and other private and public vendor registration packages.
Maintain Master/On-Call Agreements.

Assist General Counsel with corporate documents:

Research and file firm registration and license with secretaries of state and professional engineer licensing boards.
Prepare resolutions and amendments to firm governing documents.
Maintain firm minute books.
Update data on intra-net, spreadsheets, calendars, and maps regarding the above.

Assist General Counsel with insurance/litigation matters:

Maintain a record of open insurance claims/litigation, including status and legal fees spent to date.
For collection efforts, prepare liens, collection letters, and proofs of claim.
Respond to requests for certificates of insurance.
Compile information required for insurance renewals.

Assist General Counsel/Human Resources/Accounting Department with general business matters:

Administer compliance training programs to be rolled out to all firm members, including Employee Manuals, Business Conduct Manuals, Document Retention Policy, Data Security Policy, etc.
Maintain a record of office lease documents.
Maintain records of firm intellectual property registrations.
Maintain union agreements.
Draft correspondence regarding various general business matters, internally and externally.

 

Qualifications:

Minimum:

Current bar license in good standing.
Experience in the construction/design industry.
Three (3) – five (5) years’ experience, demonstrating increased responsibility.
Attention to detail and accuracy.
Strong organizational skills.
Strong writing skills, including proficiency in Word.
Strong interpersonal and communication skills.
Team-oriented mindset and strong work ethic.
Ability to multitask.

 

Preferred:

Experience with Vision Deltek software.
Experience with Sharepoint.
Proficient in Excel.
Proficient in Spanish.­­
