DESCRIPTION

Fidelity Investments is seeking an attorney with at least 5 years experience drafting and actively participating in complex business negotiations to join its in-house legal department. The individual in this position will support the business acquisition, client negotiation and contracting process within Fidelity Workplace Services LLC (FWS). FWS provides benefits and stock plan services to over 20 million client employees. FWS's clients include some of the largest companies in the United States.

PRIMARY RESPONSIBILITIES

- Provide legal support to lead business negotiator(s) in specific negotiations with clients, potential clients and their counsel. This often will mean personal and active involvement in the most significant or complex senior level client negotiations. In addition to legal advice, the attorney will also provide mixed legal/business counseling on a variety of topics, including (i) implications and consequences of contractual proposals and business deals with clients; and (ii) existing business and policy positions impacting client deals.

- Provide support for other client and vendor contract negotiations. Client contracts are typically negotiated by the business unit contracts group. Such support will comprise legal advice and interpretation; training on various legal, policy, business and negotiation matters; and day-to-day interaction with members of that group. Provide similar support for other FWS employees who are involved in the business acquisition and client negotiation processes as well as to the Procurement organization in the negotiation of vendor contracts

- Serve as a legal resource for business acquisition planning and strategy. Present legal viewpoint to business leaders. Work with senior sales, marketing and product executives in developing client acquisition and contract negotiation strategy in context of FWS's product and service offerings and business needs. Continuously develop and maintain contractual and negotiating standards as business and positioning evolves; draft standard contractual provisions and templates for a variety of client agreements.

- Build and continuously enhance an in-depth understanding of (i) FWS's product and service offerings and client requirements; (ii) FWS's business operations and functions; (iii) FWS and Fidelity positions and policies, and their evolution and rationale; and (iv) key employees within the FWS and Fidelity organizations with responsibility for relevant business functions.

- Act as a resource for other Fidelity business units and colleagues in the corporate legal department. Provide support for other FWS contractual needs, as these needs may arise. This support sometimes will comprise a short exercise, such as reviewing a particular provision or providing a referral to another part of the legal department. Sometimes the support will be more in-depth, such as drafting an appropriate agreement from scratch.

- Coordinate and collaborate with other subject matter experts across Fidelity, including within the legal department, on matters related to employee benefits law, intellectual property rights, employment law, data privacy and security and corporate law principles.

QUALIFICATIONS

Education and Experience
- JD, bar membership and excellent academic record required.

- Minimum of 3 years of experience with a recognized law firm, or equivalent experience that involves complex, high-stakes business negotiations.

- Flexibility, maturity, business judgment, creativity and a proclivity for customer service.

Skills/Knowledge

- Excellent business negotiation skills, including an understanding of the economics of the deal.

- In-depth working knowledge of general contract and corporate law principles. An understanding of the laws governing employee benefit plans would be a plus, but is not required. Similarly, experience related to HR outsourcing functions, such as payroll administration, is beneficial but not required.

- Excellent interpersonal skills and business judgment.

- Excellent document drafting skills.

- Keen interest and ability to learn operational capabilities of the business and incorporate that knowledge into the business negotiation process.

- Ability to analyze complex legal issues. Ability to develop creative business solutions that enable all parties to achieve their business goals.

- Ability to work on deadline under pressure on multiple projects in a fast-paced environment with minimal supervision.

- Ability to work and thrive in a team environment. Willingness to take initiative and act as project team leader.
